By accessing or using HeyRepli (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part, you may not access the Service. HeyRepli is an social media concierge platform that helps small businesses engage customers, monitor brand mentions, rewrite content, and schedule posts across X/Twitter, LinkedIn, Facebook, TikTok, Instagram, YouTube, Threads, and Pinterest via 100% official OAuth APIs.

2. Account Registration

To access certain features, you must register for an account. You agree to provide accurate information and are responsible for safeguarding your password.

3. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or card network rules
• Infringe intellectual property rights, privacy rights, or other third-party rights
• Generate illegal, defamatory, harassing, or fraudulent content
• Create deepfakes, child sexual abuse material (CSAM), or violent/NSFW content
• Sell or artificially inflate social media engagement (fake likes, followers, views, or comments)
• Send spam, unsolicited bulk messages, or phishing content
• Collect data in violation of social media platform Terms of Service
• Bypass or interfere with the Service's security features
• Resell or sublicense access without prior written approval
• Train competing AI models using the Service's inputs or outputs
• Present AI-generated content as work of licensed professionals (doctors, lawyers, financial advisors)
• Attempt unauthorized access to the Service or its systems

4. Service Usage and Rate Limits

Each subscription tier includes a monthly quota across X/Twitter, LinkedIn, Facebook, TikTok, Instagram, YouTube, Threads, and Pinterest. Free: 50 Smart replies + 5 rewrites + 10 scheduled posts. Starter ($49/mo): 800 + 30 + 200. Pro ($99/mo): 1,500 + 100 + 500 + 80 brand mentions. Agency ($199/mo): 3,000 + 500 + unlimited + 300 mentions. View full pricing.

5. Social Media Platform Compliance

You acknowledge that HeyRepli relies on third-party APIs subject to their own ToS. You are solely responsible for ensuring your use complies with each platform.

6. Subscription and Payment

Paid subscriptions are billed monthly via our payment processor, Waffo Pancake. By providing payment details, you EXPLICITLY AUTHORIZE Waffo Pancake to charge your payment method on a recurring basis until you cancel.

Subscriptions renew each cycle unless canceled. You may cancel anytime via: Account Settings → Subscription → Cancel Subscription. Cancellation takes effect at the end of your current billing cycle.

7. Intellectual Property

The Service and its original content remain the exclusive property of HeyRepli. You retain rights to content you submit.

8. Termination

We may terminate or suspend your account for breach of these Terms. You may discontinue use at any time.

9. Disclaimer

The Service is provided AS IS. We disclaim all warranties. We do not guarantee uninterrupted or error-free service.

10. Limitation of Liability

To the maximum extent permitted by law, HeyRepli shall not be liable for any indirect, incidental, or consequential damages.

11. Changes to Terms

We reserve the right to modify these Terms with at least 30 days notice via email.

12. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law provisions.

13. Third-Party AI Models

The Service uses third-party AI model providers, including DeepSeek, Kimi, Grok, and OpenAI GPT. Service availability and AI output quality may depend on these providers' operational status. We do not guarantee uninterrupted service from these providers. Significant service interruptions will be communicated to users promptly.
